1. GENERAL
This website (the "Site") is owned and operated by Turn One Inc. ("Company," "we," or "us"). By using the Site or purchasing services, you agree to these Terms, subject to any individually accepted Service Agreement.
The version of these Terms identified in your Service Agreement or acceptance record applies to that engagement. Updated Terms apply to new engagements or when both parties agree in writing to apply them to an existing engagement. Updating this website alone does not amend an existing Service Agreement. Prior published versions are available on request.
2. BUSINESS-TO-BUSINESS RELATIONSHIP
You acknowledge that you are engaging Turn One Inc. solely for business or commercial purposes, not as a consumer.
You waive any statutory cooling-off, rescission, or consumer-specific rights that apply only to personal, family, or household transactions.
3. SERVICES & DELIVERABLES
Turn One Inc. provides social media coaching, content strategy, marketing consulting, and related services for professional racing drivers.
Specific deliverables are outlined in your service agreement and may include: coaching sessions, content plans, video editing, and strategy calls.
Timely payment and participation are required to maintain access to services.
All deliverables produced by Turn One Inc., including all video content edited by Turn One Inc., are licensed and not sold. Ownership and license terms are governed exclusively by Section 8.
4. FEES, BILLING & PAYMENT
Your Service Agreement specifies the services, committed service period, fees, payment schedule and renewal arrangements.
Where an agreed fee for a committed service period is paid in installments, the payment schedule does not shorten that commitment or convert it into a cancellable periodic subscription. The agreed fee remains payable, subject to express termination or refund rights in your Service Agreement and applicable law. Fees for an optional future service period are not owed unless that period is renewed under the agreed renewal procedure.
No renewal or extension applies unless expressly provided in your Service Agreement or separately agreed in writing. Late or missed payments may suspend access as provided in your Service Agreement.
Except as expressly agreed in writing or required by applicable law, fees are non-refundable.
5. CHARGEBACKS & ENFORCEMENT
You irrevocably waive any right to charge back or reverse payments except in cases of verified fraud.
Improper chargebacks are a material breach and may result in liquidated damages equal to the greater of $10,000 USD or three times the disputed amount, plus collection and legal costs.
Turn One Inc. may report fraudulent disputes to payment processors and law enforcement.
6. TESTIMONIALS & CONTENT LICENSE
By providing a testimonial, case study, or review, you grant Turn One Inc. a perpetual, worldwide, royalty-free license to use, edit, and repurpose your testimonial, name, likeness, and results for marketing purposes.
All testimonials must be truthful and compliant with FTC guidelines.
Results shown are not typical. We are trained social media professionals with years of experience. Results shown should not be taken as a guarantee of your own results.
7. NON-CIRCUMVENTION & NON-SOLICITATION
You may not solicit or hire Turn One Inc. employees, contractors, or team members outside of approved channels for 12 months following program completion. Violation triggers liquidated damages of $25,000 per occurrence.
8. INTELLECTUAL PROPERTY AND CONTENT OWNERSHIP
8.1 Turn One Materials. All frameworks, methodologies, strategies, templates, training materials, systems, software, and proprietary processes made available by Turn One Inc. ("Turn One Materials") are and remain the exclusive property of Turn One Inc. You receive a limited, revocable, non-transferable license to use Turn One Materials solely for your own internal business purposes during the term of an active, paid Agreement. Duplication, resale, sharing, sublicensing, or derivative use is prohibited.
8.2 Turn One Work Product — Ownership. "Turn One Work Product" includes original partnership proposals, investor proposals and presentation documents, and means any and all creative work authored, produced, arranged, or edited by Turn One Inc. or its personnel in connection with the Services, including without limitation: original written treatments of video concepts; scripts, hooks, captions, and copy; shot lists, storyboards, and treatments; direction and production of filmed material; video editing, sequencing, cutting, color, sound design, captions, graphics, and effects; thumbnails and cover images; and every finished or intermediate video edit, in any cut, version, format, aspect ratio, or resolution.
Third-Party Audio Excluded. Turn One Work Product does not include, and Turn One Inc. claims no ownership of, any third-party sound recording, musical composition, or licensed audio track selected from a platform music library or otherwise supplied by a third party and synchronized to the work. Turn One Inc.'s ownership extends to the audiovisual work as a whole, and to all original audio it creates (including voiceover, original sound design, and original score), exclusive of such third-party audio. Removal or replacement of third-party audio does not affect Turn One Inc.'s ownership of the underlying work.
Turn One Inc. is the sole author and exclusive owner of all copyright and other intellectual property rights in and to the Turn One Work Product, worldwide and in perpetuity. No ownership interest in the Turn One Work Product transfers to you at any time, whether by payment of fees, delivery of files, completion of the Services, or otherwise. Payment for the Services purchases a license as described in Section 8.4 and does not constitute a purchase, assignment, or transfer of copyright.
8.3 Your Contributed Material. "Contributed Material" means any raw footage, B-roll, onboard or in-car video, photographs, audio, logos, graphics, documents, or other materials that you or anyone acting on your behalf submits, uploads, transmits, or otherwise makes available to Turn One Inc., by any method and at any time, together with your name, image, likeness, voice, signature, and performance as captured in any Turn One Work Product.
You retain ownership of Contributed Material that you independently created.
8.3.1 License Granted by Submission. By submitting Contributed Material to Turn One Inc. by any means — including upload to a shared drive or client portal, email, text message, direct message, physical media, or in-person transfer — you automatically and irrevocably grant Turn One Inc. a perpetual, worldwide, non-exclusive, royalty-free, fully paid-up, sublicensable, and transferable license to use, reproduce, store, edit, cut, adapt, modify, synchronize, incorporate, create derivative works from, publish, perform, and display the Contributed Material:
(a) for the purpose of producing, delivering, and revising the Services and any Turn One Work Product; and
(b) in Turn One Inc.'s own marketing, advertising, portfolio, website, case studies, sales materials, pitch decks, and social media, in any medium now known or later developed.
No separate signature, release, purchase order, countersignature, or further writing is required for this license to take effect. The act of submission is the grant. You acknowledge that Turn One Inc. relies on this license to perform the Services, that the license is supported by the consideration you have paid or agreed to pay, and that it is therefore irrevocable and may not be withdrawn, revoked, limited, or conditioned by you, whether during or after the term of your Agreement.
8.3.2 Survival. The license in Section 8.3.1 survives expiration, termination, or cancellation of your Agreement indefinitely, without regard to the reason for termination or the state of your account. Termination of your license to use Turn One Work Product under Section 8.5 has no effect on Turn One Inc.'s license under Section 8.3.1. The two licenses are independent and are not reciprocal.
8.3.3 Your Representations and Warranties. You represent and warrant, as a continuing representation with respect to every submission, that:
(a) you own or hold all rights, licenses, consents, and permissions necessary to grant the license in Section 8.3.1;
(b) the Contributed Material does not infringe or violate any copyright, trademark, trade secret, right of publicity, right of privacy, moral right, contractual right, or other right of any person or entity;
(c) you have obtained any release, consent, or clearance required from any third party appearing in, or holding rights to, the Contributed Material — including without limitation team photographers and videographers, racing series and sanctioning bodies, broadcast rights holders, circuit and track operators, sponsors, teams, other drivers, and any onboard, telemetry, or official media provider; and
(d) the Contributed Material is not subject to any agreement restricting its use, sublicensing, or commercial exploitation, and no third party is entitled to any payment in connection with the uses licensed under Section 8.3.1.
8.3.4 Indemnification. You shall defend, indemnify, and hold harmless Turn One Inc., its officers, employees, and contractors from and against any claim, demand, action, loss, liability, damage, cost, or expense (including reasonable attorneys' fees) arising out of or relating to any breach or alleged breach of Section 8.3.3, or to any third-party claim concerning the Contributed Material. This obligation survives termination and is not subject to the limitation of liability in Section 10.
Turn One Inc. may, at its sole discretion and without liability to you, decline to use, remove, or replace any Contributed Material it believes may be subject to third-party rights.
8.3.5 Name, Image, Likeness and Publicity Release. You grant Turn One Inc. the perpetual, worldwide, irrevocable, royalty-free right to use your name, image, likeness, voice, biographical information, racing results, and performance in and in connection with any Turn One Work Product and in Turn One Inc.'s own marketing and promotional materials. You waive any right to inspect or approve any such use, any right to compensation, and, to the fullest extent permitted by law, any moral rights or rights of attribution or integrity in the Contributed Material.
8.3.6 Clients Under 18. If you are under eighteen (18) years of age, these Terms and the licenses granted in this Section 8 must be accepted, and the accompanying likeness release executed, by your parent or legal guardian, who thereby agrees to be bound by these Terms on your behalf and in their own capacity, and who represents that they have full legal authority to grant the rights described in this Section 8.
8.3.7 No Right to Work Product. For the avoidance of doubt: your ownership of Contributed Material and your grant of the license above give you no right to reproduce, publish, distribute, repost, or otherwise exploit any Turn One Work Product in which that Contributed Material appears. The Turn One Work Product is a separate copyrighted work authored and owned by Turn One Inc. under Section 8.2. Supplying footage to Turn One Inc. is not a co-authorship arrangement, a joint work, a partnership, or a work made for hire, and creates no ownership interest of any kind in the Turn One Work Product.
8.4 Your License to Use Turn One Work Product. Subject to your compliance with these Terms and your Agreement, Turn One Inc. grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to publish, display, and distribute the Turn One Work Product delivered to you, solely:
(a) on social media accounts that you personally own and control;
(b) for the promotion of yourself as an athlete or personal brand; and
(c) in materials presented to prospective or existing sponsors of your racing activity.
This license is effective only during the term of an active Agreement with Turn One Inc. under which all fees due are current and paid in full. It grants no right to sell, license, sublicense, syndicate, or transfer the Turn One Work Product to any third party, and no right to use the Turn One Work Product to fulfill obligations under any contract between you and a third party except as expressly permitted in subsection (c) above.
8.5 Automatic Termination of License. The license granted in Section 8.4 terminates automatically and immediately, without notice and without any action required by Turn One Inc., upon the earliest of: (i) expiration of your Agreement; (ii) termination or cancellation of your Agreement by either party for any reason; (iii) non-renewal of your membership or subscription; (iv) any failure to pay fees when due that remains uncured for fifteen (15) days; or (v) your material breach of these Terms or your Agreement.
Upon termination of the license, you have no right to use, reproduce, publish, distribute, display, repost, re-upload, or otherwise exploit any Turn One Work Product, in any medium, for any purpose. Continued or renewed use after license termination is unauthorized and constitutes copyright infringement.
8.6 Acknowledgment for Platform Enforcement. You expressly acknowledge and agree that:
(a) Turn One Inc. is the copyright owner and author of the Turn One Work Product for all purposes, including the Digital Millennium Copyright Act, 17 U.S.C. § 512, and the corresponding intellectual property policies of Meta Platforms, Inc., Google LLC, TikTok, X Corp., and any other content platform;
(b) Turn One Inc. is authorized to submit notices of claimed infringement, takedown requests, and intellectual property reports to any platform with respect to any unauthorized use of the Turn One Work Product;
(c) any use of the Turn One Work Product occurring after termination of the license granted in Section 8.4 is unauthorized and unlicensed; and
(d) you will not submit a counter-notification, dispute, appeal, or other challenge to any such notice on the basis of a license that has terminated under Section 8.5. Submitting such a challenge is a material breach of these Terms and, in addition to all other remedies, entitles Turn One Inc. to immediate injunctive relief under Section 12.
8.7 Individual Usage Rights. Any continuing use of deliverables after services end must be expressly granted in your Service Agreement or a separate written license. Such a license does not transfer ownership or include editable project files, templates, systems, proposal documents or other proprietary materials unless expressly stated. Client-owned materials and third-party rights remain with their respective owners. Sections 8 and 8A are subject to those express written exceptions and the order of precedence in Section 16.
8A. POST-TERMINATION CONTENT RESTRICTIONS
8A.1 Prohibited Uses After Termination. Except as expressly permitted in your Service Agreement or a separate written license, following termination of the license under Section 8.5, you shall not, directly or through any agent, manager, family member, sponsor, or third party:
(a) post, repost, re-upload, re-share, or republish any Turn One Work Product on any platform or account;
(b) place any Turn One Work Product behind paid promotion, boosting, or advertising spend;
(c) transfer, deliver, or make available any Turn One Work Product to any third party, including sponsors, teams, agencies, or brand partners;
(d) use any Turn One Work Product to satisfy, perform, or fulfill any deliverable under any sponsorship agreement, brand contract, team agreement, or other commercial arrangement; or
(e) create, commission, or publish any edit, cut, excerpt, clip, translation, or other derivative work based on any Turn One Work Product.
8A.1(a) Short-Form Video and Platform Features. Without limiting the foregoing, the prohibitions in Section 8A.1 apply to all of the following, whether performed through native platform features or otherwise: re-uploading a downloaded copy of the file; use of Instagram Remix, "Use audio," "Use template," or equivalent features on any platform; sharing to Stories, Highlights, or Broadcast Channels; adding the work to any Reel, carousel, grid, or profile feature; cross-posting or re-uploading to TikTok, YouTube (including Shorts), X, Snapchat, or any other service; and any version of the work that has been cropped, resized, reframed, mirrored, speed-adjusted, re-captioned, watermark-removed, audio-swapped, or otherwise modified. Each such version is a derivative work owned by Turn One Inc.
8A.1(b) Original Audio. Original audio authored by Turn One Inc. — including voiceover, original sound design, and original score — constitutes Turn One Work Product independently of the video with which it was published. The restrictions in this Section 8A apply to that audio separately, including any use of it as a reusable audio track on any platform.
8A.2 Content Published During the Term. Turn One Work Product that you lawfully published during the term of an active Agreement may remain in place as originally published, provided that Turn One Inc. may require removal of any such content upon written notice. You shall comply with any such notice within seven (7) days. Nothing in this Section 8A.2 permits any new use, repost, boost, transfer, or derivative use described in Section 8A.1.
8A.3 Return and Deletion of Files. Within fifteen (15) days of termination, you shall cease all access to and delete all copies of unpublished Turn One Work Product, project files, source files, scripts, and Turn One Materials in your possession or control, and shall confirm deletion in writing upon request.
8A.4 Remedies. You acknowledge that unauthorized post-termination use of the Turn One Work Product causes harm to Turn One Inc. that is difficult to quantify, including loss of licensing revenue, dilution of proprietary work, and impairment of Turn One Inc.'s ability to control its own portfolio. Accordingly, for each Turn One Work Product used in violation of this Section 8A, you shall pay Turn One Inc. liquidated damages of two thousand five hundred dollars ($2,500) per work, per platform, which the parties agree is a reasonable estimate of actual damages and is not a penalty. These liquidated damages are in addition to, and not in lieu of, Turn One Inc.'s right to seek injunctive relief and to pursue statutory remedies under the Copyright Act.
8A.5 Reinstatement by License. Turn One Inc. may, in its sole discretion, grant a written retroactive or continuing license for specified Turn One Work Product on commercial terms agreed in writing. No such license is implied by course of dealing, silence, delay in enforcement, or prior tolerance of any use.
9. REGISTRATION & PASSWORDS
You are responsible for maintaining the confidentiality of your account information and password, and for all activities that occur under your account.
You agree to notify us immediately of any unauthorized use of your account.
Social media accounts owned by the client remain the client’s property and under the client’s administrative control, including recovery information. Turn One receives only the access needed to perform the agreed services. When services end, Turn One relinquishes its access and returns any client account credentials in its possession. Account ownership does not transfer ownership of Turn One deliverables or expand their agreed usage license.
10. DISCLAIMERS & LIMITATION OF LIABILITY
All Services are provided "AS IS" and "AS AVAILABLE."
Turn One Inc. disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.
TO THE FULLEST EXTENT ALLOWED BY LAW, TURN ONE INC.'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES YOU PAID IN THE PRECEDING 12 MONTHS.
NO CONSEQUENTIAL, PUNITIVE, INCIDENTAL, OR SPECIAL DAMAGES ARE RECOVERABLE UNDER ANY CIRCUMSTANCES.
TURN ONE INC. IS NOT A FINANCIAL ADVISOR AND DOES NOT PROVIDE PERSONALIZED FINANCIAL, LEGAL, OR INVESTMENT ADVICE. WE EXIST FOR EDUCATIONAL AND CONSULTING PURPOSES ONLY.
Our guarantee is dependent upon you completing an extensive set of action items that have shown to lead to success.
11. GOVERNING LAW
This Agreement, and any dispute or claim arising from it, is governed by the Federal Arbitration Act (FAA) and, to the extent not pre-empted, the laws of the State of California, without regard to conflicts-of-law principles.
12. BINDING ARBITRATION
You and Turn One Inc. agree to resolve all disputes exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules.
The arbitration shall be seated in Sacramento, California, and conducted before a single neutral arbitrator.
CLASS ACTION WAIVER: Arbitration must proceed on an individual basis only. Class, collective, or representative actions are waived and prohibited. The arbitrator may not consolidate claims or award relief for persons other than the individual party.
Each party shall initially bear its own arbitration costs; however, the prevailing party is entitled to recover reasonable attorneys' fees, arbitration fees, and costs.
Either party may bring an individual claim in California small-claims court if the claim is within that court's jurisdictional limits.
All arbitration proceedings, filings, evidence, and awards are confidential.
Notwithstanding the foregoing, Turn One Inc. may seek injunctive relief in any court to protect its intellectual property, trade secrets, or confidential information.
13. FORCE MAJEURE
Neither party shall be liable for failure to perform due to causes beyond reasonable control, including natural disasters, cyberattacks, government actions, or pandemics.
14. CANCELLATION
Cancellation, notice requirements, service end dates and any remaining payment obligations are governed by your Service Agreement. Cancellation does not waive fees already due or obligations that expressly survive under that agreement. No additional service period or renewal charge arises except under the agreed renewal procedure.
For questions or cancellation requests: support@turnone.io
15. TERMINATION
We may cancel or terminate your right to use the Site or Services at any time. In the event of termination, you are no longer authorized to access the affected Services.
Survival. Sections 5 (Chargebacks & Enforcement), 6 (Testimonials & Content License), 7 (Non-Circumvention & Non-Solicitation), 8 (Intellectual Property and Content Ownership), 8A (Post-Termination Content Restrictions), 10 (Disclaimers & Limitation of Liability), 11 (Governing Law), and 12 (Binding Arbitration) survive termination or expiration of these Terms and of any Agreement, and remain in full force indefinitely.
16. ENTIRE AGREEMENT
These Terms and your individually accepted written service agreement or enrollment schedule ("Service Agreement") govern the engagement. Your Service Agreement specifies the commercial terms applicable to you. An exception for one client does not amend another client’s agreement.
If your Service Agreement expressly differs from these Terms, the Service Agreement controls to the extent of that difference, including scope, commitment, payment, renewal, conditional fees and content usage rights. A later mutually accepted written amendment controls the provisions it expressly changes. Otherwise, these Terms continue to apply.
If any provision is found invalid, the remainder remains enforceable. Nothing in these Terms excludes rights that cannot lawfully be excluded.
